Right now I have a Canon SD 800 IS & I want to upgrade to a better one... I don't want to spend more than 300 any suggestions ?

that is already a good camera, the next upgrade is really goign to be an entry level dslr, which is in the 400-500 range

Your shutter is messed up? you mean the thing that protects your lens or the shutter setting?

If it's shutter just put it on auto. usually for outdoor you don't need more than 1/300-400 exposure. Indoor about 1/25-50 unless you use flash.

I agree that Canon SD 800 IS is pretty good point & shoot camera.
The nest upgrade is a DSLR, Nikon D40x or some cheaper ones is good enough...

The Canon 940 IS is on sale for 269 now... I wonder if its worth it. I want to stick with canon b/c I know they have really good quality. I am not ready to purchase a dslr yet...

Yeah, while DSLR bodies are not that expensive, it's the glass /lens costs plus the complexity are what prohibits people from going that direction.

I recently got my father the 780 IS ($200 on amazon)

The main difference is no wide-angle feature. The SD 800 IS was a wide-angle so I'm assuming that's an important feature. I say go for it.

That's probably the lowest it'll go from a retailer around this time of year. or ever.
